- "User Content" means Content that you upload, submit, or transmit to or through the Services
1.2 Interpretation
References to statutory provisions include those provisions as amended, extended, or re-enacted. Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa.
2. Acceptance and Scope of Agreement
2.1 Binding Agreement
By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

- Application Tracking: Job application management and progress monitoring
- Interview Coaching: AI-powered interview preparation and practice sessions
- Follow-up Communications: Automated professional correspondence generation
- Resume Builder: Professional template-based resume creation tools
- Career Analytics: Performance insights and application success metrics
3.2 AI Technology Disclaimer
Important: Our AI Services utilize third-party artificial intelligence models and are provided "as-is." While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. You are solely responsible for reviewing, editing, and verifying all AI-generated content before use. We do not guarantee the effectiveness of AI-generated materials in securing employment or career advancement.
3.3 Service Availability
NO UPTIME GUARANTEE: While we aim to provide reliable service, we make no guarantees regarding service availability, uptime, or uninterrupted access. The Services may be temporarily or permanently unavailable due to maintenance, updates, technical issues, third-party service interruptions, or circumstances beyond our reasonable control. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice or liability. You acknowledge that internet-based services inherently carry availability risks and use the Services at your own risk regarding service interruptions.
4. Account Registration and Security
4.1 Account Creation
To access certain features, you must create an account by providing accurate, current, and complete information. You agree to promptly update your account information to maintain its accuracy.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use of your account or security breach. We are not liable for any loss resulting from unauthorized account access due to your failure to maintain account security.
4.3 Account Termination
We may suspend or terminate your account immediately without notice if you violate these Terms, engage in fraudulent activity, or for any reason. Upon termination, your right to use the Services ceases immediately.
5. Subscription Plans and Billing
5.1 Subscription Tiers
We offer multiple service tiers:
- Free Tier: Limited access to basic features with usage restrictions
- Pro Subscription: Full access to all features and unlimited usage
- Trial Period: 3-day free trial of Pro features for eligible new users
5.2 Billing and Payment
Subscription fees are billed in advance on a recurring basis (monthly, 6-monthly, or annually as selected). By subscribing, you:
- Authorize us to charge your payment method for all applicable fees and taxes
- Agree to provide current and accurate payment information
- Accept responsibility for all charges incurred under your account
- Acknowledge that all fees are final and non-refundable
5.3 Price Changes
We may modify subscription pricing with 30 days' written notice. Price changes will not affect your current billing period but will apply to subsequent renewals unless you cancel your subscription.
5.4 Taxes
You are responsible for all applicable taxes, duties, and governmental charges related to your use of the Services, except for taxes based on our net income.
6. Cancellation, Refunds, and Trial Terms
6.1 Cancellation Rights
You may cancel your subscription at any time through your account settings, or by emailing contact@workwise-ai.com. For trials, cancellation must occur before the trial period ends to avoid charges. For paid subscriptions, cancellation takes effect at the end of your current billing period, and you retain access to paid features until expiration.
6.2 Refund Policy
NO REFUNDS: All sales are final. We do not provide refunds under any circumstances except:
- Billing Errors Only: Immediate refund for unauthorized charges, duplicate billing, or technical payment processing errors
NO REFUNDS are provided for:
- Dissatisfaction with AI-generated content quality or effectiveness
- Failure to achieve desired career outcomes or job placement
- Change of mind after subscription purchase
- Partial billing periods or unused subscription time
- Account termination due to Terms violations
- User error or misunderstanding of service features
- Service outages, downtime, or technical interruptions of any duration
- Maintenance periods, system updates, or service modifications
- Third-party service failures affecting our platform
- External factors affecting job market or hiring decisions
- Force majeure events or circumstances beyond our control
Important: All sales are final. By subscribing, you acknowledge that our AI-powered services are provided "as-is" and results may vary. We recommend using our 3-day free trial to evaluate our services before committing to a paid subscription.
6.3 Trial Period Terms
New users may be eligible for a 3-day free trial. Trial limitations:
- One trial per user/email address/payment method
- Full access to Pro features during trial period
- Automatic conversion to paid subscription unless cancelled
- Charges begin immediately after trial expiration
- Cancel anytime during trial to avoid charges
6.4 Trial Communications
By starting a trial, you consent to receive essential service emails including:
- Trial confirmation and welcome information
- Trial expiration reminders and billing notifications
- Subscription confirmation when trial converts to paid service
- Account and billing-related communications
These communications are necessary for service delivery and billing compliance. You may unsubscribe from marketing emails but will continue to receive essential service communications while you have an active account or subscription.
7. User Content and Data Rights
7.1 Your Content Ownership
You retain all rights, title, and interest in your User Content. You are solely responsible for your User Content and the consequences of posting or publishing it.
7.2 Limited License to Us
By uploading User Content, you grant us a limited, non-exclusive, royalty-free, transferable license to:
- Process, store, and transmit your User Content to provide the Services
- Use your User Content to generate personalized AI recommendations and optimizations
- Create derivative works solely for the purpose of providing Services to you
- Back up your User Content for service reliability and data recovery
Important: This license terminates when you delete your User Content or close your account, except for Content that has been shared with others or as required for legal compliance.
7.3 AI Training Exclusion
We do NOT use your User Content to train AI models, improve third-party AI systems, or for any purpose other than providing Services directly to you. Your professional documents and personal information remain confidential.
7.4 Content Standards
Your User Content must not:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of third parties
- Contain false, misleading, or fraudulent information
- Include malicious code, viruses, or harmful components
- Violate privacy rights of other individuals
8. Prohibited Uses and Conduct
8.1 Prohibited Activities
You agree not to:
- Abuse the Services: Use automated systems, bots, or scrapers to access the Services
- Circumvent Restrictions: Attempt to bypass paywalls, usage limits, or security measures
- Reverse Engineer: Decompile, disassemble, or reverse engineer any aspect of the Services
- Share Accounts: Allow others to use your account or share your login credentials
- Fraudulent Activity: Create fake accounts, submit false information, or engage in payment fraud
- Interfere with Services: Disrupt, damage, or impair the functionality of our systems
- Illegal Purposes: Use the Services for any unlawful activities or prohibited purposes
- Compete with Us: Use the Services to develop competing products or services
- Data Mining: Extract, harvest, or collect user data or business intelligence
- Benchmark Testing: Conduct performance or security testing without written consent

- Permanent ban from creating future accounts

We implement usage limits at our sole discretion. Any usage we deem excessive may result in immediate restrictions or account termination.
8.3 Violation Consequences
Violations may result in warnings, temporary suspension, permanent account termination, or legal action. We reserve the right to refuse service to anyone for any reason at our sole discretion.
8.4 Audit Rights and Compliance
To ensure compliance with these Terms, we reserve the right to:
- Monitor Usage: Track and analyze your use of the Services
- Audit Accounts: Review account activity and content for compliance
- Investigate Violations: Examine suspected breaches of these Terms
- Preserve Evidence: Retain data necessary for legal proceedings

- Block Suspicious Activity: Restrict access during investigations

11.2 AI Services Disclaimers
AI-generated content is provided for informational purposes only and should not be considered professional career advice. We make no warranties regarding:
- Accuracy or completeness of AI-generated content
- Suitability for any particular job or industry
- Success in job applications or career advancement
- Compliance with specific employer requirements
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WORKWISE SOFTWARE LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUBSIDIARIES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, LOSS OF OPPORTUNITIES, OR COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING FROM YOUR USE OF THE SERVICES.
AGGREGATE LIABILITY CAP: Our total liability to you for all claims arising from your use of the Services, whether in contract, tort, negligence, or otherwise, shall not exceed £100.
TIME LIMITATION: Any claim against us must be brought within 12 months of the date the cause of action arose, after which time such claim is permanently barred.
12. Indemnification
You agree to indemnify, defend, and hold harmless WorkWise Software Ltd, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including all attorneys' fees and costs) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content

- Breach of payment obligations or chargebacks
- Misuse of the Services or excessive resource consumption
- Providing false or misleading information
- Engaging in conduct that harms our business reputation
- Security breaches or threats to system integrity

- Any reason we deem necessary to protect our business interests
- At our sole discretion without cause
We are not obligated to provide specific reasons for termination and such decisions are final and non-appealable. Upon termination, all rights granted to you under these Terms will cease immediately.

Upon termination:

- We may delete your User Content immediately at our sole discretion
- Accrued payment obligations remain due
- Provisions regarding intellectual property, limitation of liability, and indemnification survive termination
17. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
17.2 Jurisdiction and Venue
Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. You irrevocably consent to the jurisdiction of such courts and waive any objection to venue in such courts.

Before initiating formal proceedings, parties agree to attempt good faith resolution through direct negotiation for at least 30 days after written notice of the dispute.
17.4 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE PROCEEDINGS, OR REPRESENTATIVE ACTIONS AGAINST WORKWISE SOFTWARE LTD. This waiver applies to the maximum extent permitted by applicable law.
17.5 Legal Fees
In any legal proceeding involving these Terms, you agree to pay all of our attorneys' fees, costs, and expenses regardless of the outcome.
17.6 Injunctive Relief
You acknowledge that any breach of these Terms may cause irreparable harm to WorkWise Software Ltd for which monetary damages would be inadequate. Therefore, we are entitled to seek injunctive relief, specific performance, and other equitable remedies without posting bond or proving damages.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WorkWise Software Ltd regarding the Services and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
18.3 Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
18.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign this Agreement without restriction in connection with a merger, acquisition, or sale of assets.
18.5 Force Majeure
We shall not be liable for any delay or failure to perform due to any circumstances whatsoever, including but not limited to acts of God, war, terrorism, pandemics, government actions, or any other reason. You remain fully liable for all obligations regardless of circumstances.
